1. About these Terms

These Terms of Service (“Terms”) govern your access to and use of the website at https://2degreeshift.com (the “Site”), operated by 2 Degree Shift, Inc. (“2 Degree Shift,” “we,” “us,” or “our”), a California Stock Corporation with California Secretary of State entity number 3047217, principal address 2620 Gray Hawk Way, San Miguel, CA 93451.

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. Relationship to our product sites

2 Degree Shift operates four product lines with their own websites and their own terms:

These Terms govern use of 2degreeshift.com. Use of a product site: including any purchase, subscription, or messaging program on that site, is governed by that product site’s own terms and, for the WhatsApp and SMS program, by the WhatsApp Program Terms of Service at tokencosts.ai/whatsapp-terms.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use this Site. By using the Site, you represent that you meet this requirement.

4. Acceptable use

When using the Site, you agree not to:

  • Use the Site in any way that violates applicable law or infringes anyone’s rights.
  • Attempt to interfere with the operation of the Site, including by introducing malware, launching denial-of-service attacks, or probing for vulnerabilities except with our advance written permission.
  • Circumvent, disable, or interfere with security features of the Site.
  • Automate access to the Site at a rate or volume that impairs performance for others.
  • Copy, reproduce, republish, sell, or exploit any portion of the Site’s content beyond what is permitted in Section 5.
  • Impersonate any person, misrepresent your affiliation, or provide false information through any form on the Site.
  • Use the Site to send unsolicited communications, or to harvest contact information for that purpose.

We may suspend or terminate access to the Site for any user who violates these Terms.

5. Intellectual property

All content on 2degreeshift.com including text, graphics, logos, images, page layout, and code is owned by 2 Degree Shift, Inc. or licensed to us and is protected by copyright, trademark, and other intellectual property laws.

You may: view, download, and print pages of the Site for your personal, non-commercial reference; quote or excerpt reasonable portions of the Site’s text with attribution to “2 Degree Shift” and a link back to the source page.

You may not: reproduce or republish substantial portions of the Site; use our name, logo, or trademarks without our written permission; create derivative works from the Site’s content for commercial purposes.

Open-source books, curricula, standards, and other materials we publish under a specific open-source or Creative Commons license are governed by that license, which controls in any conflict with this Section 5.

6. Third-party content and links

The Site links to sites and services we do not operate. We are not responsible for third-party content, terms, or privacy practices. Following a third-party link is at your own risk.

7. Disclaimer of warranties

The Site is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, 2 Degree Shift disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that the information on the Site is accurate, complete, or current.

Information published on the Site is for general informational purposes and does not constitute legal, financial, tax, medical, or professional advice. You should consult a qualified professional for advice specific to your situation.

8. Limitation of liability

To the fullest extent permitted by law, in no event will 2 Degree Shift, its officers, directors, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of the Site, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Site is limited to one hundred U.S. dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless 2 Degree Shift, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your infringement of any third-party right.

10. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in San Luis Obispo County, California, and you consent to the personal jurisdiction and venue of those courts.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of the page. Material changes will be announced through a notice on the Site homepage for at least 30 days. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections 5, 7, 8, 9, 10, and 13 survive termination.

13. Miscellaneous

These Terms are the entire agreement between you and 2 Degree Shift concerning use of the Site, and supersede any prior agreement on that subject. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms; we may assign them without restriction.
